Terms of Use

Effective

These Terms of Use ("Terms") are an agreement between you and Kai Innolabs LLC ("Wecncode", "we", "us"). They govern your use of wecncode.com, your account, and our programs, sessions and other products (together, the "Services").

For as long as you use our Services and products, you automatically agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

1. Who can use the Services

You must be at least 16 years old to use the Services. If you are under 18, you may use them only with the consent of your parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Services and for any fees.

You must give us accurate information and keep it up to date.

2. Your account

You sign in to the Services with a Google account. You are responsible for keeping that account secure and for everything done through your Wecncode account. Your account is for you alone: do not share it or let anyone else use it. Tell us promptly if you believe someone has used your account without permission.

3. Applications and admission

Submitting an application or registration does not guarantee you a place. We decide, at our discretion, whether to accept an application, and we may limit the number of participants in any program or session.

4. Programs and sessions

We may change a program or session where we reasonably need to, including its schedule, content, format and instructors. If we cancel a paid program before it ends, we will refund the fees you paid for the part not delivered. That refund is your only remedy for the cancellation.

Access to sessions, recordings and materials is provided for the duration of your program or registration, unless we tell you otherwise. You are responsible for your own device, software and internet connection.

5. Fees and payment

  • Fees for paid programs are shown before you enroll and are stated in US dollars unless we say otherwise.
  • Depending on the program, you pay in full at the start or in instalments. If you pay in instalments, you agree to pay every instalment on its due date.
  • Payments are processed by a third-party payment provider, whose own terms also apply. You are responsible for any taxes, bank charges and currency conversion costs.
  • If a payment is late or fails, we may suspend your access until it is paid, and we may end your enrollment if it remains unpaid.
  • We may change our fees for future enrollments. A change does not affect a program you have already enrolled in.

6. Refunds and withdrawal

Fees are non-refundable, except as stated in any refund terms shown to you when you enroll, as set out in section 4, or where the law requires a refund. If you withdraw from a program, tell us in writing. Withdrawing does not by itself entitle you to a refund or release you from amounts already due.

7. Acceptable use

When you use the Services, you must not:

  • break the law or infringe anyone's rights;
  • harass, threaten, discriminate against or abuse other participants, instructors or our team;
  • submit work that is not your own, or help others to do so;
  • share, publish, sell or record our sessions, recordings, materials or access links without our written permission;
  • upload anything unlawful, harmful or infected with malicious code;
  • try to gain unauthorized access to the Services, interfere with how they work, or get around their security measures;
  • copy or collect content or data from the Services by automated means;
  • use the Services to build or promote a competing product or service.

8. Our content

The Services and everything in them, including course materials, recordings, text, graphics, software, logos and the Wecncode name, belong to us or our licensors and are protected by law. We give you a limited, personal, non-exclusive, non-transferable and revocable permission to use them for your own learning while you are entitled to access them. All other rights are reserved.

9. Your content

You keep ownership of what you submit through the Services, such as assignments, projects, messages and files ("Your Content"). You give us a worldwide, royalty-free, non-exclusive permission to host, store, copy and display Your Content as needed to provide and improve the Services. You confirm that you have the right to submit Your Content and that it does not infringe anyone's rights.

We may remove any content that we believe breaks these Terms or the law.

If you send us feedback or suggestions, we may use them freely and without any obligation to you.

10. Recordings

Live sessions may be recorded. By taking part, you agree that your name, voice and anything you share during a session may be recorded and made available to other participants and to our team. Our Privacy Policy explains how we handle this information.

11. Certificates and outcomes

Any certificate we offer is issued only if you meet the completion requirements of the program. A certificate is not an academic degree or an accredited qualification.

We do not guarantee any particular result from the Services, including employment, an internship, admission, income or a specific level of skill. What you achieve depends on your own effort and circumstances.

12. Campus ambassadors

Taking part in our campus ambassador program does not make you our employee, agent or partner, and you may not make commitments on our behalf. Any benefits of the program are offered at our discretion and may change. Additional program terms may apply and will be shared with you.

13. Third-party services

The Services rely on, and may link to, services operated by others, such as sign-in, payment and video conferencing providers. We are not responsible for those services, and your use of them is subject to their own terms.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or end your access, or remove you from a session or program, if you break these Terms, if a payment is overdue, if your conduct puts others or the Services at risk, or if the law requires it. If we end your access because you broke these Terms, you are not entitled to a refund.

Sections that by their nature should continue after termination, including sections 8, 9, 15, 16, 17 and 19, will continue to apply.

15. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure, or that any content is accurate or complete.

16. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, income, data, opportunity or goodwill;
  • our total liability for all claims relating to the Services is limited to the lesser of the fees you paid us in the 12 months before the claim arose and USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law that applies to you.

17. Indemnity

To the extent the law allows, you agree to compensate us for any claims, losses and costs (including reasonable legal fees) that arise from your breach of these Terms, your misuse of the Services or Your Content.

18. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows when they were last changed. If a change is significant, we will tell you through the Services or by email before it takes effect. By continuing to use the Services after a change takes effect, you agree to the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law rules. Any dispute relating to these Terms or the Services will be decided only by the state or federal courts located in San Francisco County, California, and you and we agree to the jurisdiction of those courts.

Before starting a claim, you agree to contact us first and give us 30 days to try to resolve the matter.

Nothing in this section removes rights you have under the consumer protection laws of the country where you live that cannot be waived.

20. General

  • These Terms, together with our Privacy Policy and any program-specific terms shown to you when you enroll, are the entire agreement between you and us about the Services. If program-specific terms conflict with these Terms, the program-specific terms apply to that program.
  • If any part of these Terms is found to be unenforceable, the rest remains in effect.
  • If we do not enforce a part of these Terms, that is not a waiver of our right to do so later.
  • You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to an affiliate or a successor business.
  • We are not responsible for a failure or delay caused by events beyond our reasonable control.
